Insolvency proceedings opened for dii. Wohnimmobilien Deutschland 1

For investors in dii. Wohnimmobilien Deutschland 1 GmbH & Co. Geschlossene Investment-KG, based in Wiesbaden, the situation has further escalated. According to the available publications, the Amtsgericht Wiesbaden (Local Court of Wiesbaden) opened insolvency proceedings over the assets of the fund company on 16 October 2026 at 10:45 a.m. The proceedings are being conducted under case reference 10 IN 326/26.

The company is registered in the Handelsregister des Amtsgerichts Wiesbaden (commercial register of the Local Court of Wiesbaden) under HRA 10904. Judicial protective measures had already been announced on 7 August 2026. The opened proceedings were also preceded by preliminary insolvency proceedings, which had already been reported on in August 2026.

Closed-ended retail AIF with investments in residential real estate

Investment concept of the fund

The fund was launched as a closed-ended retail AIF. According to the investment information, the concept was to pool investor capital and invest it in German residential real estate via interests in real estate companies.

Returns were to be generated in particular from ongoing rental income and from a subsequent disposal of the real estate investments. The investment vehicles included, among others, d.i.i. 302 Immobilien GmbH & Co. KG and d.i.i. 303 Immobilien GmbH & Co. KG. Hamburg and Nuremberg, among others, were named as investment locations.

Classification within the D.i.i. Group

The fund concerned was launched in 2020 and belonged to the Wiesbaden-based D.i.i. Group, which ran into financial difficulties in 2024. According to the BaFin announcement, the parent company D.i.i. Deutsche Invest Immobilien AG filed an insolvency petition with the Amtsgericht Frankfurt am Main on 2 April 2024.

The capital management company D.i.i. Investment GmbH was also the subject of insolvency-related measures. On 17 April 2024, BaFin (Federal Financial Supervisory Authority) issued a prohibition on disposals and payments against this company and filed a petition for the opening of insolvency proceedings.

Around twelve million euros in investor capital affected

Minimum investment and front-end load

According to information published earlier, investors invested a total of around twelve million euros in dii. Wohnimmobilien Deutschland 1 GmbH & Co. Geschlossene Investment-KG. The minimum subscription amount was 20,000 euros. In addition, a front-end load of five percent applied.

The investment was therefore aimed at investors who were prepared to enter into an entrepreneurial investment with a longer investment horizon. In the case of closed-ended funds, the availability of the invested capital is generally restricted; redemption of the investment at any time is typically not provided for.

Original term and projected return of funds

The original fund term was scheduled to run until 31 December 2031. The investment information at the time stated a projected total return of funds of 196.9 percent.

According to the underlying information, this was expressly a projection. It did not entail any guaranteed repayment or secured return. With the opening of insolvency proceedings, it is unclear whether, and to what extent, economic returns to investors can still be achieved.

Financial difficulties already apparent before the opening of proceedings

Planned quiet liquidation

The financial strain on the fund did not become apparent only with the opening of insolvency proceedings. For dii. Wohnimmobilien Deutschland 1 GmbH & Co. Geschlossene Investment-KG, the option of a quiet liquidation (stille Liquidation) was to be exercised because the fund had already been in a very difficult situation at the time of the takeover.

According to the available information, this liquidation could not be completed as originally planned. Judicial protective measures followed in August 2026. The order of the Amtsgericht Wiesbaden dated 16 October 2026 has now significantly changed the procedural status.

Insolvency-related developments at target company level

There had also already been judicial measures in relation to the target companies before the fund’s insolvency. For d.i.i. 303 Immobilien GmbH & Co. KG, the Amtsgericht Wiesbaden ordered preliminary insolvency administration. The proceedings were conducted under their own case reference 10 IN 324/26.

According to published information, the order for preliminary insolvency administration was issued on 27 July 2026 at 8:38 a.m. The company has its registered office at Klingholzstraße 7, 65189 Wiesbaden.

Legal and economic consequences for investors

Entrepreneurial participation in a limited partnership

Investors in a closed-ended real estate fund generally participate as entrepreneurs. dii. Wohnimmobilien Deutschland 1 GmbH & Co. Geschlossene Investment-KG is a closed-ended investment limited partnership. Investors therefore bear the economic risk of the fund company.

In such a participation structure, the invested capital cannot simply be equated with an ordinary loan claim against the fund company. Limited partners therefore generally cannot file their corporate capital contributions in the schedule of insolvency claims (Insolvenztabelle) in the same way as ordinary insolvency claims.

Priority of external creditor claims

In the insolvency proceedings, it will now have to be clarified which assets exist, which liabilities are outstanding, and which proceeds can be generated through realization. Whether investors will still receive returns after priority claims have been satisfied remains open based on the reporting to date.

Of particular relevance are:

  • existing assets of the fund company,
  • liabilities to external creditors,
  • possible realization proceeds from participations or real estate assets,
  • the specific corporate-law position of the investors,
  • the course of the opened insolvency proceedings.

A total loss of capital is possible. However, based on the information known to date, such a loss has not yet been established.

Investment documents and potential issues of claims

Significance of the participation structure

For the classification of an investor’s own position, it may be relevant whether the participation is held directly or via a trustee limited partner. The corporate-law position influences how investors may be affected in the proceedings and which rights may be considered in the individual case.

Of particular relevance may be the subscription form, participation agreement, trust agreement, proof of payment, and previous correspondence with the fund company. These documents may provide information about the form of participation, the payments made, and the contractual integration.

Claims for damages do not arise automatically

In addition to insolvency-law issues, possible claims for damages against investment advisers or other responsible parties may also need to be examined in individual cases. However, such claims do not arise solely as a result of the insolvency of the fund company.

A separate legal basis for the claim would be required in each case. Whether such a basis exists depends on the specific circumstances of the advice, the disclosure of risks, the documents provided, and the individual subscription process. No general statements can be derived from this.

Investor-relevant insolvency case with an uncertain outcome

The insolvency of dii. Wohnimmobilien Deutschland 1 GmbH & Co. Geschlossene Investment-KG is of considerable economic significance for the investors involved. According to the information published to date, around twelve million euros in investor capital was invested. The originally projected total return of funds of 196.9 percent was not a guarantee and is now subject to substantial reservations in view of the opened insolvency proceedings.

The extent of any possible capital loss cannot currently be determined conclusively. The further course of the insolvency proceedings will be decisive, in particular the determination of the insolvency estate, the amount of priority liabilities, and the realization of existing assets.
