Digital ESM Bond to Be Settled via Pontes

The European Stability Mechanism (ESM), Deutsche Bundesbank and Clearstream are participating in the first digital benchmark bond issued by a European supranational issuer to be settled via Pontes. The Eurosystem platform enables large-value financial transactions based on distributed ledger technology (DLT) to be settled directly in central bank money.

At the same time, the transaction marks the transition of Europe’s digital financial market infrastructure from the testing phase to operational use. The first digital native ESM bond has an issue volume of €1 billion.

Allocation of Responsibilities for Issuance and Settlement

Bundesbank as Issuing and Paying Agent

Deutsche Bundesbank is supporting the issuance in its capacity as issuing and paying agent. For this purpose, it has been connected to Pontes as a market participant.

Clearstream is acting as the Pontes Market DLT Operator. The company creates and manages the bond in digital form within the Clearstream Digital Infrastructure. DZ BANK and Société Générale are supporting the transaction as advisory banks.

Delivery Versus Payment via D7 DLT and TARGET

The securities leg of the settlement takes place on Clearstream’s D7 DLT platform for tokenised securities. Delivery versus payment is envisaged, linking the transfer of the securities to the payment.

The cash transfer is executed via Pontes directly in TARGET (T2). This is the Eurosystem’s existing infrastructure for large-value payments in central bank money. The technical structure therefore connects a DLT-based securities platform with the Eurosystem’s established payment infrastructure.

The principal roles within the transaction are allocated as follows:

  • The ESM is issuing its first digital native benchmark bond with a volume of €1 billion.
  • Deutsche Bundesbank is supporting the issuance and performing the functions of paying agent.
  • Clearstream is providing the digital infrastructure and enabling delivery-versus-payment settlement.
  • DZ BANK and Société Générale are participating as advisory banks.

Integration with Traditional Capital Market Structures

Transferability to the Existing Infrastructure

The issuance uses digital technology within the applicable legal framework, existing infrastructure and established operating standards of the European capital markets. Clearstream’s hybrid model allows the bond to be transferred from the D7 DLT environment to the traditional market infrastructure.

Following such a transfer, further settlement can take place via TARGET2-Securities (T2S), the Eurosystem’s existing securities settlement service. Digital and conventional market structures thus remain interconnected.

Stock Exchange Listing and Expected Collateral Eligibility

The benchmark bond is expected to be listed on the Luxembourg Stock Exchange. It is also expected to be admitted as eligible collateral for monetary policy operations in the Eurosystem Collateral Management System.

According to the Bundesbank announcement, the bond is also expected to:

  • be accepted as eligible collateral at Eurex Clearing;
  • be included in general collateral baskets at Eurex Repo;
  • thereby support secondary-market liquidity and access for a broad range of investors.

These points concern anticipated features of the bond. They do not indicate that the bond has already been listed or that its collateral eligibility has been conclusively established.

Significance for the Digital European Capital Market

Assessments by the Institutions Involved

ESM Managing Director Pierre Gramegna considers the issuance a significant step in the development of Europe’s digital financial markets. According to his remarks, the ESM supports innovation where it promotes trust, efficiency and resilience. Pontes demonstrates Europe’s ability to build a reliable and innovative payment infrastructure and could help strengthen the euro’s international role and deepen European capital markets.

Bundesbank President Joachim Nagel considers the DLT-based issuance with cash settlement via Pontes an important step towards integrating distributed ledger technology into the European financial market infrastructure. In his assessment, the transaction demonstrates the technology’s potential to make the issuance and settlement of securities more efficient.

Stephanie Eckermann, member of the Executive Board of Deutsche Börse Group and Chairwoman of Clearstream, emphasises that Pontes has moved central bank money transactions for the institutional sector into operational use. The Clearstream Digital Infrastructure combines digital asset functions with an established international capital market infrastructure.

Pontes as Eurosystem Infrastructure

Settlement of Digital Transactions in Central Bank Money

Pontes connects DLT-based market infrastructures, including the Clearstream Digital Infrastructure, with central bank money. This enables market participants to settle large-value financial transactions recorded on distributed ledgers directly in central bank money.

The platform is intended to facilitate secure digital settlement processes and contribute to the development of a European digital ecosystem for institutional financial transactions. Following the Eurosystem’s exploratory work in 2024, the European Central Bank and the national central banks of the euro area launched Pontes on 21 September 2026, according to the Bundesbank announcement.

According to a speech delivered by Piero Cipollone, member of the Executive Board of the European Central Bank, on 26 August 2026, only one-off connection fees initially apply when Pontes is launched. This statement refers to the Pontes Pricing Guide published on 19 August 2026.

Overview of the Institutions Involved

European Stability Mechanism

Established in 2012, the ESM is an intergovernmental institution tasked with safeguarding financial stability in the euro area. It may provide financial assistance to members experiencing severe financing problems. Precautionary financial assistance instruments and the monitoring of risks to financial stability also serve to prevent crises.

The ESM raises the funds required to finance its assistance measures by issuing bonds and other debt instruments on the capital markets. Its shareholders are the member states of the euro area. Its maximum lending capacity is €500 billion.

Deutsche Bundesbank

Deutsche Bundesbank is the central bank of the Federal Republic of Germany and forms part of the Eurosystem. Its core responsibilities include participating in the Eurosystem’s monetary policy, safeguarding financial stability, contributing to banking supervision, processing cashless payments and supplying cash.

Clearstream

Clearstream operates the German and Luxembourg central securities depositories as well as an international central securities depository for the Eurobond market. According to the company, its assets under custody amount to €23 trillion. The company’s fund services cover more than 55 markets.

The Clearstream Digital Infrastructure follows a hybrid approach. Existing processes are continued while being supplemented with digital functions. Clearstream is part of Deutsche Börse Group.

Capital Markets Law Classification of Digital Issuances

The ESM transaction demonstrates how DLT-based securities issuances can be integrated with existing settlement channels, stock exchange structures and collateral mechanisms. For issuers, investors and other market participants, the specific structure of the financial instrument, the integration of the infrastructures involved and the regulatory framework may be particularly relevant.
