The Bundeskartellamt (German Federal Cartel Office) has cleared the indirect acquisition of Ibbenbüren-based Sidra Wasserchemie GmbH by Finland’s Kemira Oyj following an in-depth competition law review (Bundeskartellamt, administrative decision dated September 18, 2026). The authority reached its decision following in-depth review proceedings.
Merger in the Water Treatment Chemicals Sector
Helsinki-based Kemira and Sidra are suppliers of water treatment chemicals. As part of its review, the Bundeskartellamt focused in particular on the competitive conditions for metal salts.
Key Financial Data for the Transaction
Kemira announced the planned acquisition on February 11, 2026. According to the company, the agreed purchase price amounted to approximately EUR 75 million, subject to customary purchase price adjustments.
The company data published by Kemira include:
- In 2024, Sidra generated revenue of approximately EUR 40 million and EBITDA of around EUR 10 million.
- For 2025, Kemira likewise reported revenue of approximately EUR 40 million and EBITDA of around EUR 12 million for Sidra.
- In 2025, Kemira generated consolidated revenue of EUR 2.8 billion with approximately 4,900 employees.
The transaction was completed following clearance. According to Kemira, approximately 60 Sidra employees transferred to the Finnish group as part of the acquisition.
In-Depth Review of Market Conditions
Market Position in Iron and Aluminium Salts
The Bundeskartellamt found that both companies held strong market positions, particularly in iron salts, in parts of Germany and, to some extent, in neighbouring countries. Nevertheless, the authority concluded that sufficient competition would remain following the merger.
In addition to revenue and sales volumes, the competitive assessment also took account of the market participants’ supply flows. In the Bundeskartellamt’s assessment, customers have sufficient alternative sources of supply. These also include procurement alternatives from suppliers in neighbouring countries.
Regional Significance of the Production Sites
When defining the geographic scope of the market, the limited economically viable transport range of metal salts played a key role. Even under favourable conditions, these products are rarely transported over distances exceeding 500 kilometres.
Kemira operates production sites for iron and aluminium salts in Dormagen and Rheinberg, Germany. Further sites are located in Poland and the Czech Republic, among other countries. Sidra manufactures in Ibbenbüren, North Rhine-Westphalia, and Bitterfeld, Saxony-Anhalt, and also has a sales site in Belgium.
Clearance Following Completion of the In-Depth Review Proceedings
The in-depth review did not result in the proposed transaction being prohibited. The Bundeskartellamt cleared the planned indirect acquisition on September 18, 2026. The decision was subsequently published on October 29, 2026.
The decision demonstrates that, in mergers involving markets dependent on transport costs, calculated market shares alone are not decisive. Actual supply relationships, production capacities, regional reach and accessible alternative sources of supply may also be relevant to the competitive assessment.
