A new stage of the proceedings has begun for investors in Fonds 9 AvR Hornbach Grundstück Verwaltungs GmbH & Co. KG. The Amtsgericht Hamburg (Hamburg Local Court) has ordered provisional insolvency administration over the company’s assets (AG Hamburg, decision dated 2 November 2026 – 67b IN 285/26). This does not mean that insolvency proceedings have already been opened. The court has yet to decide whether to open the proceedings.

## Provisional insolvency administration over the company’s assets

The decision was issued on 2 November 2026 at 2:04 p.m. The Amtsgericht Hamburg appointed a lawyer as provisional insolvency administrator. Since then, dispositions by the company have been effective only with the administrator’s consent.

The order is intended to preserve the company’s assets while the insolvency petition is being reviewed. Its purpose is to prevent the company’s financial position from deteriorating before the court decides whether to open insolvency proceedings. However, the provisional measure does not mean that the requirements for opening insolvency proceedings have already been conclusively established.

### Company’s classification under register law

Fonds 9 AvR Hornbach Grundstück Verwaltungs GmbH & Co. KG is registered with the Amtsgericht Hamburg under HRA 123697. Its general partner GmbH is registered with the Amtsgericht Hamburg under HRB 131915 and likewise has its registered office at Kattrepel 10, 20095 Hamburg.

The business address of the general partner GmbH was changed from Poststr. 2–4, 20354 Hamburg, to Kattrepel 10, 20095 Hamburg. Taken alone, this register information does not permit any conclusions to be drawn regarding the economic reasons for the provisional insolvency administration.

## Economic consequences for investors currently unclear

The court’s decision provides no information on the amount of the liabilities, the existing fund assets or potential financial losses. Nor has it yet been established whether, and to what extent, distributions or repayments can still be made.

The legal position of individual investors also cannot be determined solely on the basis of the court order. A key factor is whether the investment constitutes an equity interest under company law, a loan or another capital claim. This classification can have a significant impact on whether and in what form claims will be recognised in any insolvency proceedings subsequently opened.

### Difference between an equity interest and a claim

Limited partners are shareholders in the fund company. Their equity interest does not automatically give rise to an obligation to repay their contribution that qualifies as an insolvency claim. By contrast, different insolvency law standards may apply to lenders or holders of other capital claims.

The specific legal position therefore depends on the relevant contractual documents and the structure of the investment. The provisional insolvency administration does not resolve these individual questions.

## Relevant documents and areas for legal review

The following documents in particular may be relevant when classifying an investment:

- The investment agreement and subscription form provide information on the chosen form of investment.
- Payment and bank transfer records document the payments actually made.
- Prospectuses and other sales documents may be relevant when assessing the information provided at the time of acquisition.
- Distribution notices make it possible to allocate payments already made.
- Correspondence with the fund company, intermediaries or advisers may document the process leading to the investment decision.

Depending on the individual case, potential claims arising from defective investment advice, inaccurate prospectus disclosures or against other responsible parties may also be considered. However, the existence of such claims does not follow automatically either from the provisional insolvency administration or from potential financial difficulties at the fund company. The applicable requirements must always be assessed separately.

### Claims may be filed only after insolvency proceedings are opened

As a general rule, the formal [filing of a claim for inclusion in the insolvency schedule](https://www.mtrlegal.com/wiki/insolvenztabelle/) requires insolvency proceedings to have been opened. The provisional insolvency administration currently ordered does not yet initiate a formal claims filing procedure.

If the Amtsgericht Hamburg opens insolvency proceedings, the subsequent procedural steps will be set out in the opening order and the court’s public notices. These may include, in particular, requirements for filing claims and the applicable deadline. No such details have currently been established.

### Previous distributions and potential payment claims

In connection with investments in funds, investors may, under certain conditions, face claims for the repayment of previous distributions or demands for additional contributions. Whether such a claim exists depends on its contractual and statutory basis and on the specific investment structure.

The order for provisional insolvency administration does not in itself establish a general obligation to repay distributions received. Nor can any blanket obligation to make additional contributions be inferred from it.

## No findings of breaches of duty

The decision concerns the preservation of assets and the review of the insolvency petition. It contains no findings regarding any breaches of duty by the company, its governing bodies, advisers or other parties involved. Accordingly, no broader conclusions regarding responsibility may be drawn from the current stage of the proceedings.

Irrespective of the insolvency proceedings, potential claims may be subject to their own limitation periods. Whether such claims exist and when a limitation period begins or ends depends on the specific facts and the applicable legal basis for the claim.

## Advice on individual legal positions

The consequences of the provisional insolvency administration for individual investors depend, in particular, on the form of investment, the contractual documents and any further potential legal bases for claims.
